General Terms & Conditions of Sale

These General Terms and Conditions of Sale (GTCS) govern all commercial relations between Next-Level Group GmbH (hereinafter « the Seller ») and its customers, whether professionals (B2B) or private individuals (B2C).

1. Scope

These GTCS apply to any order of products or services placed with Next-Level Group GmbH. They prevail over any purchase conditions of the customer, except by written agreement to the contrary. Any order implies full and unreserved acceptance of these GTCS.

2. Formation of the Contract

Offers and quotes issued by the Seller are valid for 14 days from their date of issue, unless stated otherwise. The contract is deemed concluded upon written confirmation of the order by the Seller or, failing that, upon commencement of performance.

3. Prices and Payment

Prices are quoted in Swiss francs (CHF) or in euros (EUR), excluding VAT. The applicable Swiss VAT is added at the time of invoicing, if applicable. Unless otherwise agreed, invoices are payable within 30 days net from their date of issue. In case of late payment, default interest of 5% per year is due by law (art. 104 CO), as well as any collection costs.

4. Delivery and Transfer of Risk

Delivery times are given as estimates. Late delivery shall not give rise to cancellation of the order or to any compensation for damages. Unless otherwise agreed, delivery is made Ex Works (EXW Basel) according to Incoterms 2020. The transfer of risk occurs upon handover of the goods to the customer or carrier.

5. Retention of Title

The goods delivered remain the exclusive property of the Seller until full payment of the price, including principal, interest and incidental costs (art. 715 CC). The customer may not resell, pledge or transform them before full payment. In case of non-payment, the Seller may demand immediate return of the goods.

6. Warranty and Defects

Products benefit from the legal warranty for defects (art. 197 ff. CO) for a period of 24 months from delivery. Any defect must be notified to the Seller in writing within 7 working days of its discovery, failing which the warranty right lapses. The warranty does not cover: normal wear and tear, damage resulting from improper use, incorrect installation, unauthorized modification, or force majeure.

7. Liability

The Seller's liability is limited to direct and foreseeable damage resulting from proven fault. It shall not exceed the net amount of the order concerned. Indirect damages, loss of business, loss of data, loss of turnover or profit are excluded. This limitation does not apply in case of gross negligence or wilful misconduct (art. 100 CO).

8. Force Majeure

The Seller cannot be held liable for non-performance or delayed performance of its obligations in case of force majeure, including: natural disaster, war, riot, strike, pandemic, shortage of raw materials, supplier default, decision of a public authority. The Seller's obligations are suspended for the duration of the event.

9. Returns and Right of Withdrawal

Swiss law does not provide a general right of withdrawal for distance or online sales (art. 40a ff. CO). Consequently, no return of goods is accepted, except in the case of a proven defect covered by the warranty (see section 6). Products matching the order cannot be taken back or refunded.

10. Governing Law and Jurisdiction

These GTCS are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the ordinary courts of Basel-Stadt (Switzerland).
